Terms of Use

The Grommet Wholesale is a business-to-business platform that connects makers with retail businesses. By using The Grommet Wholesale, you agree to comply with and be bound by these Terms of Use. This is a binding agreement between you and Daily Grommet, Inc. (“The Grommet”).

1. Qualifying for The Grommet Wholesale 
   Prospective sellers and buyers must apply and be approved by The Grommet in order to gain access to The Grommet Wholesale platform. Retailers on The Grommet Wholesale (“Buyers”) must represent retail businesses and may only make purchases on The Grommet Wholesale to resell the purchased items. Buyers must be able to provide a valid Federal Employer Identification number for their business. Sellers on The Grommet Wholesale (“Sellers”) are approved by The Grommet based on criteria such as brand identity, product values, pricing, product photography, and the ability to scale their businesses in line with The Grommet’s values. The Grommet has the right to approve or reject any application to join The Grommet Wholesale and to refuse service to anyone, for any reason, at any time.
2. Transactions 
   All orders on The Grommet Wholesale must be placed through The Grommet Wholesale purchase order system. Placing The Grommet Wholesale orders outside the purchase order system is considered fee avoidance and may result in the suspension or termination of your account and subject you to other collection mechanisms. 3. Buyer Policies 
   Buyers agree with the following terms: You guarantee that you represent a retail business and have the authority to enter into agreements on behalf of that business. You agree that The Grommet and it’s Sellers reserve the right to refuse any order, at any time, for any reason. You will adhere to the MAP pricing policies dictated by The Grommet and the Seller. You agree to allow Sellers and The Grommet to contact you via phone, or email regarding orders you place. Not responding to inquiries from The Grommet within seven (7) calendar days may result in the suspension or termination of your account. You agree that you are prohibited from reselling products purchased on The Grommet Wholesale on sites which focus on price discounting such as group purchasing/buying sites and daily deal sites such as Fab, Groupon, LivingSocial, Gilt, as well as eBay and Amazon and their portfolio of related companies. 
4. MAP Pricing Policy 
   To protect our Sellers and The Grommet’s brand reputation, we have unilaterally adopted a MINIMUM ADVERTISED PRICE POLICY (“MAP Policy”). We established this MAP Policy due to the fact that Buyer advertising and sales practices that promote Seller’s products primarily on the basis of price could be detrimental to Seller’s service efforts and The Grommet’s competitive position. Such activities can be harmful to The Grommet’s and Seller’s brand, reputation and competitiveness, and allow some Buyers to take advantage of the service and support efforts of others. The Grommet believes that these practices are unfair and thus discourages such efforts. The Grommet, in its unilateral discretion, will not do business with any Buyer, as to the products covered by this MAP Policy, if that Buyer intentionally advertises any product on The Grommet Wholesale site with MAP pricing listed (“MAP Product”) below its MAP price. The Grommet is confident that this program will strengthen its competitiveness and benefit all of its Buyers. The Grommet reserves the right, in its unilateral discretion, to take other action with respect to any Buyer that violates this MAP Policy. The MAP Policy will be enforced by The Grommet in its sole discretion. The Grommet recognizes that any authorized Buyers can make their own decisions to advertise and sell any MAP Product at any price it chooses without consulting or advising The Grommet. The Grommet similarly has the right to make its own independent decision regarding product allocations and Buyer participation as an approved Buyer of The Grommet Wholesale – at any time. The Grommet will maintain an updated MAP price on the page of each product which falls under this MAP policy. The Grommet reserves the right to update or modify this list at any time. Listing a price other than the MAP retail price next to the featured MAP Product in any advertising will be viewed as a violation of this MAP Policy. This MAP Policy applies to all advertisement of MAP Products in any and all media, including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines catalogs, mail order catalogs, internet or similar electronic media including websites, forums, email newsletters, email solicitations, television, radio, and public signage. Such website features as “Click for price”, automated “bounce – back” pricing e-mails, pre-formatted e-mail responses, forms, automatic price display for any items prior to being placed in a customer’s shopping cart, and other similar features are considered to be communications initiated by the Buyer (rather than by the customer) and this constitutes “advertising” under this MAP Policy. This MAP Policy also applies to any activity which The Grommet determines, in its sole discretion, is designed or intended to circumvent the intent of this MAP Policy, such as solicitations for ‘group purchases’ and the like. Where MAP Products are bundled with or sold as part of a package that includes other products (whether or not sold by The Grommet), it shall be a violation of this MAP Policy to sell or advertise the bundle (or package) at a price that: (a) is lower than the total Minimum Advertised Price of the MAP Product or (b) violates the letter or spirit of the MAP Policy. Its shall be a violation of this MAP Policy to include in any advertising for MAP Products any additional discount, coupon, gift card, or incentive (whether in the form of a special event, promotion, term of doing business or otherwise) that translates into an immediate price reduction, where the cumulative effect would be to reduce the advertised price of any MAP Product below MAP. Advertising that includes an additional discount, coupon, gift card, points, or any other incentive for future purchases (regardless of whether the future purchases is of a Grommet product) shall be evaluated under the same guidelines as described in the preceding section regarding product bundling. For example, a gift card redeemable on a future purchase would be considered an “other product” under the preceding section. If a Buyer with multiple store locations violates this MAP Policy at any particular store location, then The Grommet will consider this to be a violation by all of the Buyer’s locations. Although Buyers remain free to establish their own resale prices, The Grommet reserves the right to cancel all orders and indefinitely refuse to accept any new orders from any Buyers following The Grommet’s verification that such Buyer has advertised any MAP Products at a net retail sales price less that the then-current MAP retail price established by The Grommet, or if Buyer has violated this policy in any other way. The Grommet’s representatives are NOT permitted to discuss this Policy or make any agreements or assurances with respect to The Grommet’s MAP Policy regarding Buyer advertising or pricing. This also includes any consumer program or promotion that affects the below-listed MAP Products.  
5. Integration with TheGrommet.com 
   While The Grommet Wholesale website is generally integrated with The Grommet website (https://www.thegrommet.com), some sections are maintained separately to limit the information posted on The Grommet website. Items listed for sale and wholesale prices posted on The Grommet Wholesale will not appear to users of The Grommet website who are not users of The Grommet Wholesale. 
6. Related Policies 
   By using The Grommet Wholesale in any manner, including but not limited to visiting or browsing the website, you also agree to be bound by The Grommet’s Terms of Use and the terms of The Grommet’s Privacy Policy. The Grommet reserves the right to modify The Grommet Wholesale Terms of Use, so please review these terms periodically.
